Profit-Sharing Agreement

This Agreement is entered into by and between the following:REACH Projects, Inc., represented by Dylan HueyTrueWrld Media Solutions Inc., represented by Sheldon Trujillo-MangumYou, the Creator. By submitting this agreement, you confirm that the name and address provided during the prior form submission are accurate and represent your legal information for the purposes of this Agreement.Contact for Corrections: If there are any errors in the information submitted, please notify us immediately at [email protected].2. Purpose of the Agreement
The purpose of this Agreement is to establish the terms under which the Creator will receive a share of the profit generated by licensing their content through the TrueWrld Solutions X REACH platform.3. Profit-Sharing Terms
The pay structure is based on two categories of content:Cinematic Content Pay Tier: Revenue share ranges from $0.25 to $0.50 per minute or more, depending on buyer commitment. Examples include: $15 to $30 per hour, $1,500 to $3,000 per 100 hours of content, or $15,000 to $30,000 per 1,000 hours of content.Creator Content Pay Tier: Revenue share ranges from $0.12 to $0.25 per minute or more, depending on buyer commitment. Examples include: $7.20 to $15 per hour, $720 to $1,500 per 100 hours of content, or $7,200 to $15,000 per 1,000 hours of content.4. Payment Terms
Payments will be made quarterly, within 30 days of the end of each quarter ("Net 30"). The Creator will be contacted to provide payment details after this agreement is submitted. Payment amounts are dependent on the licensing of the Creator's content and cannot be guaranteed.5. Licensing Terms
The Creator acknowledges that profit is generated on a per-licensing basis. Commercial efforts will be made to license the content, but specific payment amounts or frequencies cannot be guaranteed. The Creator agrees to tag their footage with their full name on the TrueWrld Solutions X REACH platform.6. Onboarding and Enrollment
By submitting this agreement, you agree to participate in an onboarding call to finalize your enrollment in the program. During this call, we will confirm your participation, discuss next steps, and activate your access to the program. Failure to complete the onboarding process may delay or prevent full enrollment.7. Term and Termination
This Agreement will remain in effect for six (6) years unless terminated by either party with 30 days' written notice. Upon termination, any outstanding payments will be honored and disbursed.8. Confidentiality
The Parties agree to maintain confidentiality regarding any sensitive information related to profits, licensing, and content performance.9. Dispute Resolution
Any disputes will first be subject to mediation. If mediation fails, disputes will be resolved through binding arbitration under the laws of the state of California.10. Amendments
